Marine Harvest take-over of Morpol accepted Published: 27 February, 2013
FOLLOWING the mandatory offer made by Marine Harvest ASA on 14 January to acquire all outstanding shares in Morpol ASA, Marine Harvest has now received acceptance of the offer of a total of 64,729,810 shares.
Following settlement of the offer Marine Harvest will own 146,261,515 shares, which represents approximately 87.1 per cent of the share capital in Morpol. There may be additional acceptances not registered yet, so Marine Harvest’s total ownership after completion of the offer may therefore increase somewhat. Settlement for the shares tendered in the offer will be made no later than 12 March 2013.
Marine Harvest does not own any other rights to acquire shares in Morpol and will not have voting rights for its shares until the transaction has been approved by the EU Commission and Ukrainian competition authorities. Marine Harvest has entered into the pre-notification procedure with the EU Commission and intends to officially file the concentration shortly with the EU Commission and Ukrainian competition authorities.
